Quantify Bookkeeping Terms of Service
We’re thrilled to partner with you and support your business through accurate and reliable bookkeeping. These Terms of Service outline the expectations, responsibilities, and policies that guide our working relationship. 1. Parties
This Agreement is entered into by and between Quantify LLC ("Service Provider," "we," "our," or "us") and the client ("Client," "you," or "your").
2. Scope of Services
We provide:
- Monthly bookkeeping and reconciliation of financial accounts
- Categorization of financial transactions
- Preparation of standard financial reports (e.g., Profit & Loss, Balance Sheet)
We do not provide:
- Tax preparation, tax filing, or CPA services
- Financial advisory or investment services
- Receipt or data collection
- Legal or regulatory compliance services
- Forensic accounting or auditing
Any insights or suggestions based on your books are informational only and not professional financial, tax, or legal advice. Clients are encouraged to consult with qualified professionals before making decisions.
3. Platform Requirements
We work exclusively with QuickBooks Online. Clients must maintain an active subscription and provide us with ongoing access.
4. Setup Fee and Catch-Up Work
A one-time setup fee is charged to all clients. This fee covers onboarding, account setup, and any required clean-up or catch-up work. We will provide a custom quote based on the amount of work required. Clients who commit to a 12-month term may be eligible for a reduced or even waived setup fee.
5. Client Responsibilities
- Maintain and provide access to all necessary accounts and software
- Upload or forward accurate and timely financial data
- Collect and retain receipts, invoices, and documentation
- Ensure completeness and accuracy of all provided data
6. Definition of a Transaction
A "transaction" refers to any individual entry in your accounting system that requires classification or reconciliation (e.g., bank deposits, expenses, transfers, journal entries).
7. Pricing and Scope Adjustments
Monthly pricing is based on a variety of factors relating to your business including but not limited to annual revenue, number of employees, and pricing tier. If your annual revenue or service requirements increase, we reserve the right to adjust pricing with written notice.
8. Payment Terms
Invoices are issued monthly on the 1st of the month and due within 5 days. We prefer ACH bank transfer and autopay, but may accept checks. Late payments may be subject to a 4% monthly fee.
9. No Refunds
All payments, including the setup fee and prepaid service fees, are non-refundable.
10. Terms of Service Duration
We offer the following engagement options:
- Month-to-Month – Cancel with 30 days’ notice
- 6-Month Commitment – Discounted rate
- 12-Month Commitment – Best rate with potential setup fee waiver
11. Limitation of Liability
We are not liable for:
- Business or financial decisions made by the Client
- Errors in client-provided data
- Any losses or damages resulting from use of our services or reports
12. Indemnification
Clients agree to indemnify and hold harmless {{Your Business Name}} from any claims, losses, or liabilities resulting from use of our services, client decisions, or breach of this agreement.
13. No Guarantee of Outcome
We do not guarantee financial results, tax savings, or compliance outcomes. Our role is to maintain accurate records—not ensure success or profitability.
14. Dispute Resolution
All disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. Each party is responsible for its own legal costs unless otherwise decided by the arbitrator.
15. Confidentiality
We commit to keeping all client information confidential unless disclosure is required by law or authorized by the Client in writing.
